Payment Terms and Conditions
Please read these Payment Terms and Conditions carefully before accepting them or using the YouShift Platform and Services.
These Payment Terms and Conditions (hereinafter, the “Payment Terms”) form an integral part of the Agreement executed between You (“Client”) and YouShift Corp. (“YouShift” or “We”), and supplement the General Terms and Conditions (the “T&C”). By accepting these Payment Terms, You acknowledge that You have read, understood, and agree to be bound by them in their entirety. In the event of any discrepancy or conflict between these Payment Terms and the T&C, these Payment Terms will prevail with respect to economic/financial matters.
1. Purpose
This document specifically governs the economic and payment-related aspects applicable to the use of YouShift’s digital platform or software (the “Platform”) and the associated services (the “Services”).
Use of the Platform and/or the Services is also subject to the acceptance of the T&C, which are available here.
2. Subscription Modalities and Price
2.1 Subscription System
Access to the Platform and use of the Services is offered through a subscription whose amount (the “Price”) depends on the number of End Users (healthcare professionals) that the Client invites or enables to use the Platform.
The Client may choose from different subscription modalities, including monthly or annual subscriptions, as made available from time to time on the Platform.
2.2 Tariff Details
The applicable subscription fee (monthly or annual) will be displayed to the Client at the time of subscribing, as well as on the account settings or billing panel.
Annual subscriptions may include a single fee for the entire annual period or be divided into recurring monthly payments, as expressly indicated on the Platform.
2.3 Price Modifications
YouShift reserves the right to modify the subscription Price and will inform the Client of such changes at least fifteen (15) days in advance.
These modifications will not affect the current billing cycle; they will take effect at the start of the next subscription period.
3. Methods of Payment
3.1 Accepted Payment Methods
The Client may pay for the subscription by credit or debit card, or by other payment methods that YouShift may enable from time to time (e.g., PayPal, bank transfer).
The Client is responsible for any additional costs or charges imposed by their banking institution, as well as any taxes or fees that may be applicable.
3.2 Updating Payment Information
The Client must keep the necessary payment information on the Platform up to date so that YouShift can process payments.
If a payment method is declined or expires, the Client must promptly update it with a valid one to avoid service suspension.
4. Duration of the Subscription, Renewal, and
Cancellation
4.1 Automatic Renewal
The subscription (monthly or annual) will automatically renew at the end of each billing period, unless the Client cancels it beforehand, in accordance with the provisions of this section.
4.2 Cancellation of the Subscription
The Client may cancel their subscription at any time through the account management portal on the Platform.
Once the cancellation request is submitted, the Client will continue to have access to the Platform and the Services until the end of the current billing period. After that period expires, the account will be automatically canceled and access will be terminated.
4.3 Suspension or Restriction due to Non-Payment
If the Client fails to pay the subscription fee by its due date, YouShift may, after prior notice, suspend or restrict access to the Platform and the Services until the payment situation is remedied.
If non-payment persists, it may result in the termination of the Agreement and the total cancellation of the account.
4.4 No Refund of Paid Amounts
Unless otherwise required by applicable law, any amount already paid is non-refundable, even in the event of early cancellation or termination of the Agreement.
5. Promotions and Discount Codes
5.1 General Information
YouShift may offer the Client or third parties promotional codes or credits that can be redeemed on the Platform, subject to the specific conditions established for each offer.
5.2 Validity and Restrictions
Unless specified otherwise, promotional codes or credits are personal and non-transferable, non-refundable, not cumulative with other promotions, and have an expiration date as indicated in the promotion.
If the promotional code or credit is tied to a specific product or service, it may only be used for that product or service.
5.3 Fraudulent Use
YouShift reserves the right to invalidate any promotional code that has been used contrary to its terms, in an abusive manner, or which involves fraud.
6. Consequences of Non-Payment
6.1 Material Breach
Failure to pay the subscription fee will be considered a material breach of the Client’s obligations under the Agreement.
Without prejudice to any other legal actions available to YouShift, the Client’s account and those of the associated End Users may be suspended or canceled, as appropriate.
6.2 Late Payment Interest
Any amount not paid by its due date shall accrue late payment interest at the legal rate in force in the Kingdom of Spain, calculated daily from the due date until the actual payment date.
7. Taxes and Fees
7.1 Applicable Taxes
Subscription prices will be displayed with any applicable taxes included or itemized, as required by current legislation.
The Client shall be responsible for paying any indirect taxes (for example, VAT or other applicable taxes) that may be levied on the subscription and shown separately.
7.2 Withholding
All payments made under this document must be made in full, without set-off, and free of any withholdings or deductions, except where required by mandatory legal provisions to the contrary.
8. Modifications to these Payment Terms
8.1 Updates
YouShift may modify or update these Payment Terms at any time by giving the Client due notice (for example, through a notice on the Platform or by email).
If the Client does not accept the new terms, the Client must discontinue use of the Services and, if applicable, cancel the subscription.
8.2 Implicit Acceptance
Continued access to or use of the Platform and the Services by the Client following notice of any change to the Payment Terms will be considered tacit acceptance of those modifications.
9. Relationship with the General Terms and Conditions
9.1 Integration
These Payment Terms form an integral part of the complete Agreement, together with the T&C and any other referenced documents.
Any mention of the “Parties,” “YouShift,” the “Client,” and other defined terms in the T&C also applies to these Payment Terms.
9.2 Prevalence
In the event of a conflict between these Payment Terms and the T&C, the provisions of these Payment Terms will prevail regarding prices, payment methods, refunds, and any other economic matters.
10. Governing Law and Jurisdiction
10.1 Governing Law
These Payment Terms are governed by the laws of Spain, excluding any other rules or laws that could otherwise apply.
10.2 Jurisdiction
Any dispute, controversy, conflict, or claim arising out of or related to the interpretation or performance of these Payment Terms shall be submitted exclusively to the Courts and Tribunals of the city of Barcelona.
11. Acceptance
By checking the corresponding box or clicking the acceptance button during the registration process, You acknowledge that You have read, understood, and agree to be bound by these Payment Terms and the General Terms and Conditions.
